Treasury shares reach statutory holding limit
The proposed cancellation comes after the maximum two-year statutory period for holding the treasury shares expired. The resolution notes that disposal of those shares had been excluded. Shareholders will consider the cancellation and capital reduction as special resolutions under the Companies Law and the company's articles of association.
If approved, the reduction would leave GlobalWealth with issued share capital of €105,399.577, consisting of 105,399,577 ordinary shares, compared with €105,436.963 and 105,436,963 shares currently. The nominal value would remain €0.001 per share. Authorized share capital would also stay unchanged at €500,000, comprising 500 million ordinary shares.
GlobalWealth had already begun the cancellation process by June 30, 2026, according to its interim unaudited financial statements. At that date, the 37,386 treasury shares accounted for approximately 0.035% of issued share capital. The holding did not change during the first six months of the year.
Independent review of the option scheme
A separate ordinary resolution proposes appointing Ekkeshis Ierodiakonou Ltd, DMK Accountants Ltd and Highworth (Cyprus) Ltd to assess every aspect of the employee share option scheme.
The three consultants would deliver their findings to the board in a written report, along with any recommendations they deem appropriate. Those recommendations could include implementing, amending or postponing the scheme.
Under the proposal, the board would set the consultants' engagement terms and remuneration, review their report and decide on any further action within its powers. It would also have authority to sign the documents needed for the engagement.
Earlier share issues and first-half results
The proposed cancellation follows a first half in which GlobalWealth issued 7,163,630 new ordinary shares, according to the interim report. Two private placements accounted for 2,221,164 shares issued on January 12, 2026, and 1,400,000 on May 12, both priced at €0.45 per share.
The remaining issues were consideration under the share-exchange mechanism for the Wealthyhood acquisition: 3,473,997 shares at €0.62 each on May 29 and 68,469 shares at €0.64 each on June 15.
For the six months ended June 30, 2026, GlobalWealth reported €4,006,231 in revenue and €2,582,080 in net profit. Its balance sheet showed total assets of €40,034,089 and total equity of €39,112,421. The group described itself as unleveraged, with no material bank debt.
Company background and listing plans
Based in Cyprus, GlobalWealth trades under the ticker WEALTH on the Cyprus Stock Exchange's Emerging Companies Market. The company describes its business as a wealthtech-driven, vertically integrated investment and asset management group.
It began as WealthAvenue PLC, a real-estate-focused investment company incorporated in Cyprus on November 27, 2020. It joined the Emerging Companies Market in 2023, then adopted the GlobalWealth Group PLC name in 2024 after completing a reverse takeover of GMM Group.
The June 2026 interim report said the board had received authorization to proceed with a listing on the Cyprus Stock Exchange's Regulated (Parallel) Market and pursue a parallel listing on the Euronext Athens Stock Exchange.
GlobalWealth's corporate website reports €640 million in assets under management across more than 50 investment funds and a client base exceeding 2,800 investors. The company says its subsidiaries provide regulated UCITS and AIFM management.
Meeting arrangements and implementation powers
The November 18 meeting is scheduled for 9 a.m. at the company's offices at 43 Agion Omologiton Avenue, 1080 Nicosia.
Shareholders will also consider general resolutions giving the board authority to carry out the approved decisions. These cover executing and delivering documents and certificates on the company's behalf, as well as completing the required registrations, entries and filings.
The proposed powers would allow the directors and/or company secretary to handle entries in company registers and the necessary applications, notifications, publications and filings with the Registrar of Companies and the stock exchange.
The board would also be able to engage legal, tax, listing and financial advisers on terms it considers appropriate. It could obtain the necessary legal and tax advice, decide how to implement the resolutions and take the remaining steps needed to put them into effect.
